This survey provides a general discussion of the concept of willful breach as used in connection with the remedy provisions contained in Canadian public merger and acquisition (M&A) agreements. The survey is based on a review of acquisition agreements with respect to 51 M&A transactions involving publicly listed reporting issuers (as targets) entered into between January 1, 2023 and December 31, 2023, having a signing value of at least $20 million and tracked in Practical Law Canada's What's Market database.
