The following information is specific to holders of Class C common stock prior to the Exchange Offer.

The information on this web page is intended for shareholders holding Class C shares of Visa Inc. (the "Company") who are interested in selling their Class C shares. Prior to February 7, 2011, certain Class C shares were subject to transfer restrictions. After such date, however, all Class C shares became eligible for public sale.

There is no requirement that you sell your shares. If, however, you wish to sell your Class C shares, please review the information provided below.

Sales Procedure

There are two methods by which a Class C shareholder may sell its Class C shares. A Class C shareholder may instruct that the shares designated for sale be transferred into the shareholder’s existing brokerage account for sale, provided the broker is a participant of the Depository Trust and Clearing Corporation (DTCC). If a Class C shareholder chooses to use its own broker, it must represent that it has a commitment to sell Class A shares on the open market before shares will be transferred to that broker. Alternatively, the Class C shareholder may use the Visa Sales Facility provided by EQ Shareowner Services. Although EQ Shareowner Services may assist with the sale of such shares, shareholders are not obligated to use EQ Shareowner Services for that service.

The instructions and forms necessary to participate in each option are provided below:

Please note that EQ Shareowner Services will convert the Class C shares into Class A shares in accordance with the applicable conversion rate for Class A shares for the settlement of such sales when they are sold into the public market.

Although Class C shares are eligible for sale at any time, the Company reserves the right to restrict such sale if law prohibits it.

What are the charges on the sale of shares? ›

The stock exchange levies transaction charges for buying and selling of shares at the rate decided by the respective stock exchange. SEBI charges a turnover fee of 0.0002% of the transaction amount.
