Redemption Code
means the code Customers use to activate the relevant Software. Non-exclusive appointment Subject to this Agreement, Dirac grant Reseller a non-exclusive, non-transferable right to purchase Redemption Codes via the Discount Link, for the sole purpose of reselling the Redemption Codes to Customers. This right to resell does not apply to any other party or other Dirac products (including without limitation any sale to any related party, organization or affiliate). Unless approved by Dirac in writing, Reseller may not allow other entities to resell or otherwise redistribute Redemption Codes or the Software. Xxxxx XXXX and Live Account Reseller understand that each Customer must first register a Dirac Live Account and accept the XXXX to redeem a Redemption Code. Reseller shall inform each Customer of these requirements prior to any resale of a Redemption Code. Reseller is not permitted to, without the prior written approval of Dirac, accept any changes to the XXXX towards the Customers. Reseller agree to immediately notify Dirac of any known or suspected breach of the XXXX or other unauthorized use of the Software and to assist Dirac in the enforcement of the terms of the XXXX for any Software activated by a Redemption Code resold by Reseller to Customer. Representation Reseller is permitted to identify as a Dirac Live Upgrade Reseller solely in connection with resales of Redemption Codes in accordance with the Agreement. Reseller agree to not represent itself as an agent or employee of Dirac and agree that Dirac shall have control over any and all communications regarding the Software. Reseller shall not make any representations regarding Dirac or the Software except as expressly permitted in these terms and conditions or the XXXX. Reseller agree to not engage in any deceptive, misleading, illegal or unethical practices that may be detrimental to Dirac or its Software and agree to comply with all applicable laws and regulations while performing its duties under the Agreement. Payment Dirac will charge Reseller for purchased Redemption Codes directly via the Discount Link. Dirac may adjust the prices for Redemption Codes from time to time without notification to Reseller. The current prices are available on Dirac’s e-commerce platform which is accessible via the Discount Link. All prices provided by Dirac are exclusive of Taxes.
