Terms & Conditions of ‘ Bonus Buddies’ Promotion |
These Terms & Conditions apply to the ‘Bonus Buddies’ Promotion (the “Promotion”). |
1.Promotion. During the Promotion Period (see Clause 2 below), Eligible Members (as defined under Clause 5) who satisfy the requirements under Clause 9 shall be entitled to an Offer (as defined in Clause 9b) below). |
2.Promotion Period. The Promotion begins at 09:00:01 (CET time) on 9December2020 and ends at 8:59:59 (CET time) on 9 December2021(the “Promotion Period”). |
3.Promoter. These Terms & Conditions are entered into between Alibaba.com Singapore E-Commerce Private Limited, a company incorporated in Singapore with registered office address at 8 Shenton Way, #45-01 AXA Tower, Singapore 068811 (the “Promoter” or “AliExpress”) and any Participant (as defined below), and these Terms & Conditions govern the terms of the Promotion. |
4.Availability. This Promotion is available on AliExpress iPhone and Android apps. |
5.Eligible Members. To participate in the Promotion, you must (i) have a registered account on AliExpress and (ii) have registered for and activated an Alipay Wallet (as defined below), if you are users of Spain, France, Germany, Italy or the Netherlands (the “Alipay Countries”). However, employees, officers and directors of the Promoter and their respective immediate family members, affiliated and subsidiary companies, as well as any company involved in the Promotion, together with their respective agents, are not eligible to participate in the Promotion.. The user confirms that the user is allowed to participate in the Promotion and that the Promotion as designed is valid and does not require specific requirements in the jurisdiction the user is based or accessing the Promotion from. |
6.Alipay Wallet. An “Alipay Wallet” is an account which holds electronic money and provides e-wallet functions which is operated by Alipay Europe and found within the AliExpress app/website. The terms and conditions of the Alipay Wallet can be found athttps://intl.alipay.com/docs/ac/Platform/bnt0sw. Alipay Europe. Alipay (Europe) Limited S.A. (registered address at 11-13 Boulevard de la Foire, L-1528 Luxembourg, Grand Duchy of Luxembourg). For the avoidance of doubt, the Promoter does not issue or operate, and is not in any way responsible for, a user’s Alipay Wallet. |
7.Coupon. Eligible Members of non-Alipay Countries who participate in the Promotion and complete tasks and actions as required under Clause 7 below may be entitled to receive one or more coupon with a total face value that corresponds with the Bonus Points the Eligible Member accumulated and the difficulty level chosen (face value of which may be expressed USD or in the local currency amount) (“Coupon”), which is issued by AliExpress and can be applied towards the purchase of physical goods on AliExpress. For the avoidance of doubt, Coupon cannot be withdrawn to a user’s account. The use of any Coupon is subject to its terms and conditions. In particular: i) Any minimum spending requirement as specified on the respective Coupon(s). ii) Coupon will be valid for 7 days (from the date the Coupon is received and can be used by the user) and shall expire and cannot be used after the expiry of that 7 day period. iii) Coupon is non-exchangeable for cash and non-transferable. For goods purchased using Coupon which are returned or refunded, the amount of Coupon will not be returned and such Coupon will not be re-issued. iv) Use of any Coupon is further subject to the AliExpress Coupons terms and conditions: |
8.Bonus. “Bonus” is issued by Alipay Europe and can be applied towards the purchase of goods on AliExpress. For the avoidance of doubt, Bonus cannot be withdrawn to a user’s account. The use of any Bonus is subject to its terms and conditions. In particular: i) Bonus will be valid for 20 days (from the date the Bonus is received and can be used by the user) and shall expire and cannot be used after the expiry of that 20 day period. ii) Bonus is non-exchangeable for cash and non-transferable. For goods purchased using Bonus which are returned or refunded, the amount of Bonus will not be returned and such Bonus will not be re-issued. iii) The Bonus can only be used in for orders placed on the AliExpress App, which is required to be downloaded and installed on your device in advance. |
9.Promotion-specificTerms. |
a)Promotion Description Eligible Members who participate in the Promotion are referred to in these Terms & Conditions as “Participants”. Any references to “you” or “user” in these Terms & Conditions are to a Participant. Participants may collect bonus points (“Bonus Points”) by completing the following: i) joining the Promotion by following the instructions on AliExpress website/app; ii) sharing with others (“Invitees”) the link (the “Invite Link”) provided by the Promoter for this purpose in connection with the Promotion; iii) successful registration on AliExpress by an Invitee who was not previously a registered member on AliExpress via the Invite Link shared by the Participant at ii); and iv) an Invitee who is already a registered member on AliExpress joining the Promotion via the Invite Link shared by the Participant at ii), (each, a “Task” and, together, the “Tasks”). Upon completion of Task i), the Participant will be allocated a certain amount of Bonus Points –the exact amount will be determined based on a number of factors pre-determined by the Promoter, including how early into the Promotion Period it is and in accordance with the Promoter’s risk management policies. In any event, a Participant will not be allocated Bonus Points in connection with Task i) more than once per twenty-four (24) hours. As a Participant completes Tasks iii) and iv), such Participant will be allocated a certain amount of additional Bonus Points. The Promoter may introduce additional Tasks from time to time during the Promotion Period that a Participant can complete such Tasks to accumulate Bonus Points. Any such additional Tasks will be described on AliExpress and will always be an optional method to accumulate Bonus Points. Additional Bonus Points will be awarded for each completion of a Task depending on a number of factors pre-determined by the Promoter, including whether the Invitee (which allows the Participant to complete the Task) is an existing or new AliExpress user and how early into the Promotion Period it is. Tasks ii)-iv) (and any additional Tasks that the Promoter may make available) can be completed more than once by a Participant during an Accumulation Period (as defined below). An individual Invitee can only assist three Participants to accumulate Bonus Points every twenty-four (24) hours during the Promotion Period, provided that an Invitee can only assist the same Participant once per twenty-four (24) hours. The Participant will need to (a) accumulate the target bonus points as indicated on the event page, and (b) complete Tasks i) and ii) at least once, and (c) bind a bank card to the Participant’s Alipay Wallet (if applicable), in each case within 24 hours of completing Task i) (the “Accumulation Period”) and in all cases during the Promotion Period, in order to be able to redeem the Bonus Points for an Offer (referred to as “Claim” of Offer). The target Bonus Points varies across different difficulty levels and are expressed in a currency amount and it varies across countries, and is calculated and shown on the basis of Euro, Rouble and/or US dollars and may be converted to local currency depending on your location, the “ship to”, “currency” and/or “language” setting of your AliExpress account or App.. A Claim must take place within 72 hours of the end of the relevant Accumulation Period (the “Claim Period”) and a Participant should follow the instructions on the AliExpress website/app to Claim the Offer, including performing security verifications (such as “Binding Card and Confirm Withdrawal Instructions”). Provided that a Participant is entitled to Claim Offer prior to the end of the Promotion Period, such Participant shall still have a 72 hour Claim Period to Claim such Offer, even if such Claim Period extends beyond the end of the Promotion Period. A Claim of Offer by a Participant may not be successful if (i) a same account/terminal/bank card has been bound to AliExpress and/or Alipay (if applicable) prior to the Promotion, (ii) the place where the bound bank account/terminal/bank account was issued is one of the Non-participating Countries, or (iii) the bonus pool has been redeemed in full by other users before the Claim, (iv) you have already attempted to claim an Offer five times in the past week, or (v) the bank card is not supported by AliExpress and/or Alipay (if applicable). Where a Participant is entitled to Claim Offer but has not Claimed such Offer yet, such Participant shall not be entitled to further participate in the Promotion until either such Offer has been Claimed or the relevant Claim Period has expired. Only upon Claim of Offer will the Participant be entitled to such Offer. If a Participant fails to complete actions (a)-(b) in the Accumulation Period, or fails to Claim Offer during the Claim Period, then any Bonus Points accumulated during such Accumulation Period shall be void and the Participant will not be entitled to any Offer in connection with such Bonus Points. Offer may take up to 5 business days to be credited to the Participant after Claim. Each Eligible Member may only participate in one round of the Promotion per twenty-four (24) hours during the Promotion Period. |
b)Offer After a successful Claim of Offer in accordance with terms and procedures set out in paragraph 9(a), you will be entitled to an offer, which can be (i) a specified Bonus credited to your AliPay Account, or (ii) an AliExpress Coupon of a specified face value, depending on the country where you are located in (an “Offer”): i) Users in Spain, France, Italy, the Netherlands and Germany may receive a Bonus in the amount that corresponds with the Bonus Points the user accumulated and the difficulty level the user chose at the beginning of the game; ii) Users in all other countries may receive one or more AliExpress Coupon(s) with a total face value that corresponds with the Bonus Points the user accumulated and the difficulty level the user chose at the beginning of the game. The face value of the AliExpress Coupon(s) iscalculated and shown on the basis of US dollars and may be converted to local currency depending on your location, the “ship to”, “currency” and/or “language” setting of your AliExpress account or App. If you return and/or request a refund on products purchased using any Bonus or AliExpress Coupon, the value of the Bonus or the AliExpress Coupon for the refunded/returned order will be forfeited and no new Bonus or AliExpress Coupon will be issued regardless of whether it is within the validity period. The types of Offers are determined by users’ countries. You may change the currency displayed in the game by making the applicable changes in settings. The target bonus points, value of the Offers and/or other information displayed in the game is calculated and shown on the basis of Euro, Rouble and/or US dollars and may be converted to local currency depending on your location, the “ship to”, “currency” and/or “language” setting of your AliExpress account or App, which may cause small denomination differences affected by different time zones and conversion of exchange rate. Terms and conditions for use of the Offers are set out at paragraphs 7 and 8 respectively. The Promoter has the right to issue alternative rewards (e.g. bundled coupons of different face value and usage terms), cancel the participation qualification of a user, or forfeit any reward, coupon and/or bonus points of any user to its sole discretion if a user participates in the activity adopting any improper means or fraudulent acts. Improper means and fraudulent acts include but are not limited to: using illegal tools to share, download, install, register, log in to multiple accounts and other improper means. |
c)Promotion Restrictions - You may not invite yourself as an Invitee in the Promotion. You may only invite third parties other than yourself who are eighteen (18) years of age or older, or are based or accessing the Promotion from a jurisdiction other than the Non-participating Countries. - You may not send Invite Links in a manner that the Promoter (in its sole and absolute discretion) believes constitutes spam or otherwise undesirous communications. - If there is any breach of these Terms & Conditions or illegal, fraudulent or abusive behavior during the participation in the Promotion (as determined by the Promoter in its sole discretion), the Promoter will forfeit such Participant’s eligibility to participate in the Promotion, Bonus Points accumulated and/or entitlement to any Coupon in connection with the Promotion forthwith without notice. You agree not to (a) create multiple, duplicate or fake accounts in order to invite yourself as an Invitee, (b) invite Invitees who have created multiple, duplicate or fake profiles, (c) use alternative contact information in order to invite yourself as an Invitee, (d) invite Invitees that you do not know personally, if the Promoter (in its sole and absolute discretion) believes that you are doing so in a way that constitutes spam or otherwise undesirous communications, (e) invite fictitious or fake persons, (f) do anything that harms or damages the brand, goodwill, or reputation of the Promoter or AliExpress or any service providers that assist the Promoter or Alipay Europe with providing the Promotion, (g) use any automated system, script or macro to participate in the Promotion, (h) resell, barter, trade, auction or otherwise generate income by providing access to the Promotion, (i) infringe the intellectual property rights of the Promoter, its service providers or any third parties, (j) stalk, harass or harm any individual and (k) participate in the Promotion in a manner that the Promoter (in its discretion) considers to be unreasonable, excessive or in bad faith. |
10.Miscellaneous. |
a) By participating in this Promotion, you agree to be bound by these Terms & Conditions. |
b) The AliExpress app must be updated to the latest version. The Promoter shall bear no liability for losses incurred by you in connection with this Promotion to the extent the result of a failure by you to update the AliExpress app. |
c) In the event this Promotion is stopped by government agency’s orders or must be suspended due to server network attack or system failure or any circ*mstances beyond the Promoter’s control, such as epidemics or pandemic, such event shall be regarded as a force majeure event, and the Promoter shall not be held liable for any damage, loss or dispute therein. |
d) In the event that the Promotion becomes inoperable due to any computer network related reasons, you agree that the Promoter shall not be held liable for any damages. |
e) Time and validity of any actions (including accumulation of Bonus Points and Claim of Coupon) and/or your eligibility for the Promotion shall be determined by the Promoter based on the Promoter’s record. If there is any discrepancy between the record of actions held by you and that held by the Promoter, the Promoter’s record shall be conclusive and binding on you. |
f) The Promoter is not responsible for any late, lost, delayed, incomplete, illegible, misdirected or undeliverable entries, responses, or other correspondence, whether by e-mail or otherwise. |
g) The Promoter shall not be liable or construed as providing any guarantee as to the quality and availability of the products and or services users may purchase using Coupon. |
h) By participating in the Promotion, the user fully accepts these Terms & Conditions and expressly submits to the interpretative decisions made by the Promoter. The non-acceptance of any of these terms will mean the loss of any Coupon or right derived from the Promotion for the user. |
i) The Promoter reserves the right to change, suspend or terminate the Promotion or these Terms & Conditions without prior notice. The Promoter shall, to the maximum extent permitted by applicable law, not be liable for any such change, suspension or termination. The Promoter also reserves the right to extend the Promotion Period in its discretion and these Terms & Conditions shall apply to any such extended Promotion Period. |
j) Participant understands that Promotor shall process his personal data in accordance with the terms of the Privacy Notice in the Annex. |
11.Conflict of terms and conditions. In the event that any of the terms under these Terms & Conditions conflict with rules and/or any such related information displayed on AliExpress in relation to the Promotion, these Terms & Conditions shall prevail. |
12.Disclaimer. TO THE MAXIMUM EXTENT PERMITTED BY LAW, In no event will the promoter be liable to YOU for any direct, INDIRECT, special, incidental, exemplary, punitive or consequential damages (including loss of use, data, business or profits) arising out of or in connection with your participation in thIS PROMOTION, whether such liability arises from any claim based upon contract, warranty, tort (including negligence), strict liability or otherwise, and whether or not promoter HAs been advised of the possibility of such loss or damage. |
13.Disputes. You acknowledge and agree that the Promoter or any of its affiliates shall not be responsible, and shall have no liability to you or anyone else for any dispute or claim that arises out of your participation in the Promotion. |
14.Governinglaw. The Promoter will carry out this Promotion in accordance with applicable laws, being provided however that this Promotion is governed by Hong Kong laws and any dispute regarding this Promotion shall be finally resolved by Hong Kong courts. |
